1.) By entering our site, I represent that I have read and agree to all of the terms of this Membership Agreement I certify that I am over 18 years old and am using a valid credit card that I am authorized to use.

2.) I am familiar with and I understand the standards and laws of the community in which I live regarding sexually-oriented media. I represent that, based on my familiarity with these standards and laws of my community, by requesting and receiving any of the adult material on Erotica On-Line I will not be violating any of these standards and/or laws. I understand that by accepting the terms of this agreement I will hold Erotica On-Line harmless from any responsibilities related to my requesting, receiving or possessing materials contained on its site.

3.) I will be billed a trial membership fee of $2.95 US for the first day, and $19.99 US per month for all months after the first day until I cancel my membership. I agree to pay Erotica On-Line for all charges incurred by me on the site, and understand my credit card will automatically be billed each month $19.99 US until I cancel my membership. All sales are final.

4.) I agree that Erotica On-Line has the right to change all pricing, content, and hours of service at any time, and to terminate service to any person without cause or prior notice.

5.) I agree not to use Erotica On-Line to send, or submit for public posting any abusive, obscene, threatening, libelous, slanderous, or illegal matter or material, or matter or material containing blatant expressions of bigotry, racism or hate. I further agree not to send, or submit for public posting any copyrighted matter or material, without the specific authority of the copyright owner. By submitting any matter or material to a public postings area of Erotica On-Line, I irrevocably grant Erotica On-Line permission to treat the matter or material as if it were in the public domain, including modifying it or using it commercially and authorizing others to do so. I agree to indemnify and hold Erotica On-Line free and harmless from any and all claims, suits, damages, costs and expenses (including attorneys' fees) arising out of or in any manner related to any matter or material sent by me or submitted by me for public posting on Erotica On-Line.

6.) I Understand and agree that no warranty is made by EROTICA ON-LINE regarding the EROTICA ON-LINE service, and EROTICA ON-LINE hereby expressly disclaims: (1) any and all warranties as to the availability, accuracy, or content of information, products, or services available through the EROTICA ON-LINE service; and (2) any warranties of merchantability or fitness for a particular purpose. I further understand and agree that any liability of EROTICA ON-LINE, its officers, directors, employees, agents, or independent contractors,including without limitation any liability for damages caused or allegedly caused by any failure of performance, error, omission, interuption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft, destruction, alteration, or use of (or unauthorized access to) records, whether for breach of contract, breach of warranty, negligence or other tortious behavior, shall be strictly limited to the amount paid to EROTICA ON-LINE by or on behalf of the claimant for EROTICA ON-LINE service membership fees for the month in which the claimed injury or damage occured. Some states DO NOT allow the limitation or exclusion of liability for incidental or consequential damages for the above limitation or exclusion. This may Not apply to you.

7.) Subscribers are responsible for providing all personal computer and communications equipment necessary to gain access to the Service. Access to and use of the Service is through a combination of an ID, a password. Each Subscriber must keep his password strictly confidential. Remember your password! For security reasons, Erotica On-Line will not release passwords for any reason. Unauthorized access to the Service is a breach of this Agreement and a violation of law.

8.) Subscribership may not be assigned or transferred to any other person or entity. Subscriber must promptly inform Erotica On-Line of the following: changes in the expiration date of any credit card used in connection with the Service; changes in home or billing address; and apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until Erotica On-Line is notified, by electronic or conventional mail, or by telephone at (212) 688-1851, of a breach in security, the Subscriber will remain liable for any unauthorized use of the Service. Upon request, Subscribers will be given access to billing records that support charges for use of the Service.

9.) Except for public domain material and electronic messages, all material displayed on the Service is copyrighted by EOL Communications, Corp and may not be copied, redistributed, or downloaded, in whole or in part, without the prior written consent of EOL Communications, Corp., unless otherwise clearly stated in this Agreement.

10.) "Erotica On-Line" is a registered trademark of EOL Communications, Corp.

11.) The material on the Service is for the private, non-commercial enjoyment of Subscribers only. Any other use is prohibited.

12.) This Agreement contains the entire agreement between the Subscriber and Erotica On-Line regarding the use of the Service, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by Erotica On-Line to Subscribers. Unless otherwise explicitly stated, the provisions of this Agreement shall survive its terminations. The Agreement shall be governed by the laws of the State of New York.
